Represented the developer in the public-private development of a 600,000
square foot warehouse distribution facility. Negotiated and prepared documentation
for a project agreement between the developer, the tenant, and three governmental
agencies, a tax abatement agreement, acquisition of property and related
title and title insurance matters, construction financing, long-term lease,
and ultimate sale to a real estate investment trust.
Represented one of the nationÍs leading private real estate companies
of retail owned centers in acquiring and/or developing a portfolio of
more than 160 retail centers in 17 states. Representative transactions
included redevelopment and de-malling of the former Woodhill Mall property
in Columbia, South Carolina (now known as Shoppes at Woodhill) into a
new and vibrant Target anchored center with junior anchors such as Bed
Bath & Beyond, Cost Plus/World Market, and Pier 1 Imports; development
of a new 106,395 square foot shopping center known as Shoppes at Lorton
Valley in the Washington, DC-Arlington-Alexandria MSA anchored by Giant
Food, Blockbuster Video, Starbucks; development of a new 53,400 square
foot center known as Town Center at Twin Hickory, in Richmond, Virginia
MSA anchored by Food Lion; development of a new 70,000 square foot shopping
center in the Savannah, Georgia MSA anchored by The Fresh Market, Ann
Taylor Loft, Jos. A. Bank, Kirkland's Home, and Chico's; acquisition
of a portfolio of 21 shopping center properties in the Northeast with
anchors such as Super Stop & Shop, Borders Books, BobÍs Stores;
Bed, Bath & Beyond; acquisition of a retail center with 429,546 feet
of retail space known as Lenox Marketplace in the Atlanta-Sandy Springs-Marietta,
Georgia MSA with major retailers such as Publix, Filene's Basement, Dick's
Sporting Goods, American Signature Home, Target; acquisition of a 5 property
portfolio of Publix anchored properties in Florida; acquisition of a 5
property portfolio of Giant anchored properties in Virginia and Maryland.
Representative major lease/anchor negotiation transactions include leases/anchor
agreements with Target, Home Depot, Lowes, Publix, Harris Teeter, Giant,
Stop & Shop, TJ Max, and Ross.
Represented a timberland investment
management organization in the acquisition of 390,000 acres of timberland
in ten counties, reported to be the largest US timberland transaction
in the year of closing.
Represented the developer
of a 456,000 square foot regional office facility, including negotiations
and preparation of documentation relating to land acquisition, resolution
of title and wetlands issues, construction, development financing, and
long-term lease.
Represented the developer of Brays Island Plantation,
a 3,000 acre plus planned outdoor community consisting of 325 one acre
circular lots, with the remainder dedicated to community uses. Drafted
comprehensive restrictive covenants, structured documents for lot sales
program, closed individual lot sales, and handled various other development
matters.
Represented a joint venture between Venezuela's largest paper
company and a US paper company for a wood chip processing and export operation
in Venezuela. Included negotiation with various governmental agencies
to acquire a major port concession and timber concession covering approximately
200,000 acres of pine plantations.
Represented a major US forest products company
in the acquisition of approximately 40,000 acres of leasehold interests
in Costa Rica for the establishment of gmelina plantations. Structured
long-term leasing program, negotiated and prepared various contracts with
governmental agencies and others for mill and port facilities and other
matters relating to production of wood chips for export.
Represented landowner
in negotiations with county and state officials and the ultimate sale
of property for the new State Farmers Market.
Represented the owners in the rollup of 69 shopping center and office properties in joint venture with the State of Michigan Retirement System.
Represented the developer of Carolina Park, reported to be the first condominium parking facility for football tailgating.
Represented the developer in the conversion of the former Confederate Printing Plant and South Carolina Dispensary Warehouse into a Publix grocery store.
Represented the developer of the "Cockaboose Railroad", the first of its kind football tailgating concept.
Special counsel to the City of Columbia in connection with real estate projects.
